These Terms of Use ("Terms") are a binding agreement between you and Ainur Corp ("Siftlee," "we," "us," or "our") and govern your use of the Siftlee mobile app, website, and related services (collectively, the "Service").
By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You may use the Service only if:
- you are at least 13 years old, or the minimum age required by the laws where you live;
- you have the legal capacity to agree to these Terms; and
- your use of the Service does not violate any applicable law or regulation.
If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Your Account
You may create an account using email or other supported sign-in methods. You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your login credentials and access to your device;
- all activity that occurs under your account; and
- promptly notifying us if you believe your account or device has been compromised.
We may suspend or restrict access if we reasonably believe your account is being used unlawfully, abusively, or in violation of these Terms.
3. The Service
Siftlee is a digital service for storing, organizing, and interacting with information and content you choose to provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use.
Siftlee may allow you to:
- upload, submit, store, access, and manage content, information, and materials;
- use organizational, retrieval, assistance, or other supported product features; and
- use automated or AI-assisted features we make available.
We may add, modify, suspend, or discontinue features at any time.
Siftlee offers paid auto-renewable subscriptions through Apple in-app purchase. Subscription options, duration, pricing, renewal terms, and any trial or offer details are shown before purchase in the app and in Apple's purchase sheet. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Payment is charged to your Apple ID. You can manage or cancel your subscription in your Apple account subscription settings. Premium access remains available while your subscription is active, subject to these Terms and normal service availability.
Premium includes unlimited uploads and searches for normal personal use, subject to fair use, technical limits, file size limits, rate limits, abuse prevention, and service availability. We may throttle, limit, suspend, or restrict usage that is automated, abusive, unlawful, disproportionately burdensome, or harmful to the Service or other users.
4. Your Content
A. Ownership
You retain ownership of content you submit, import, upload, or store in Siftlee ("User Content"), subject to any rights held by third parties in that content.
B. License you grant to Siftlee
You grant Siftlee a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, reproduce, modify, process, display, and create derivative outputs from your User Content as needed to:
- operate the Service;
- provide, maintain, personalize, and support the Service and its features;
- secure, debug, and maintain the Service; and
- enforce our policies and comply with law.
This license ends when your User Content is deleted from the Service, except to the extent retention is allowed under our Privacy Policy for backups, logs, legal compliance, dispute resolution, or security purposes.
C. Your responsibilities
You represent and warrant that:
- you own or control the rights needed to provide the User Content;
- your User Content and use of the Service do not infringe, misappropriate, or violate any third-party rights;
- you have any required permissions or consents to upload content about other people; and
- your User Content does not violate applicable law.
User Content also includes any URLs, web links, or references to third-party content that you submit, save, paste, share, or import into the Service ("Submitted Links"). By submitting a Submitted Link, you represent and warrant that: (a) you have the right to access and reference the content at that URL; (b) the content at that URL does not infringe any third party's intellectual property, privacy, publicity, or other rights; and (c) you authorize Siftlee to retrieve, process, transcribe, summarize, extract text and metadata from, and otherwise analyze the content at that URL solely for the purpose of providing the Service to you.
5. Acceptable Use
You may not:
- use the Service for unlawful, fraudulent, infringing, or harmful purposes;
- upload malware, malicious code, or content designed to disrupt systems;
- attempt to gain unauthorized access to accounts, data, systems, or networks;
- interfere with or degrade the Service or bypass security or rate limits;
- use the Service to store or process content in a way that violates privacy, publicity, intellectual property, or confidentiality rights;
- reverse engineer or extract source code from the Service except where prohibited by law; or
- use automated means to scrape, overload, or misuse the Service beyond its intended functionality.
6. AI Features and Output
Siftlee may use automated systems and third-party service providers in connection with certain features of the Service.
By using automated or AI-powered features, you authorize Siftlee to process relevant User Content and related data, and to use third-party providers as needed to provide those features.
You acknowledge that:
- AI outputs may be inaccurate, incomplete, or misleading;
- AI-generated outputs are provided for convenience only;
- you are responsible for reviewing outputs before relying on them; and
- the Service is not a substitute for legal, medical, financial, professional, or other expert advice.
You must not rely on Siftlee for emergency services or high-risk decisions.
7. Third-Party Services and Content
The Service may depend on or interoperate with third-party services, platforms, infrastructure providers, identity providers, communications providers, or automation providers. Siftlee is not responsible for third-party services, content, availability, policies, or actions.
If you use or import third-party content through Siftlee, your use of that content remains subject to any rights and restrictions imposed by the original source.
Submitted Links remain subject to the terms, policies, and rights of their original sources. Siftlee is not responsible for the availability, accuracy, legality, or lawfulness of content accessed via Submitted Links, and your use of any such content is at your own risk and remains subject to the original source's terms.
8. Communications and Notifications
You agree that Siftlee may send you service-related communications, including login codes, authentication emails, account notices, deletion confirmations, and other transactional messages.
If you enable notifications, Siftlee may send push notifications related to the Service. You can manage notification permissions in your device settings.
9. Suspension, Termination, and Account Deletion
You may stop using the Service at any time. We may suspend or terminate your access if:
- you violate these Terms;
- we reasonably believe your use creates legal, security, or operational risk; or
- we are required to do so by law.
You may initiate account deletion through the Service at any time. Siftlee applies a 30-day grace period before permanent deletion, and logging back in during that period cancels the scheduled deletion. After that period, the account and associated data are intended to be permanently deleted, subject to limited residual retention described in the Privacy Policy.
Sections of these Terms that by their nature should survive termination will survive, including sections relating to ownership, disclaimers, limitations of liability, indemnity, and disputes.
10. Intellectual Property
The Service, including its software, design, text, graphics, interfaces, trademarks, logos, and other content made available by Siftlee, is owned by or licensed to Siftlee and is protected by intellectual property and other laws.
Except for the limited license granted in these Terms, Siftlee reserves all rights not expressly granted to you.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIFTLEE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
We do not guarantee that imported content will be preserved without error, that AI output will be accurate, or that the Service will always be available.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIFTLEE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIFTLEE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SIFTLEE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) C$50.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Siftlee and its affiliates, officers, directors, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your User Content;
- your misuse of the Service;
- your violation of these Terms; or
- your violation of any law or third-party right.
14. Apple App Store Terms
If you downloaded the app from Apple's App Store, you acknowledge and agree that:
- these Terms are between you and Siftlee, not Apple;
- Apple is not responsible for the Service or its content;
- Apple has no obligation to furnish maintenance or support services for the Service;
- to the extent any warranty exists by law and cannot be disclaimed, Apple is not responsible for it, and Siftlee is solely responsible for any such warranty obligations;
- Apple is not responsible for addressing claims relating to the Service or your possession or use of the Service, including product liability, legal compliance, or intellectual property claims; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.
You must also comply with any applicable App Store usage rules.
15. Governing Law and Disputes
These Terms are governed by the laws of Ontario, Canada, and the applicable federal laws of Canada, excluding conflict-of-law rules.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved in the courts of Ontario, Canada, unless applicable law requires otherwise.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date and may provide additional notice where required by law, including by email and/or in-app notice. Your continued use of the Service after the updated Terms take effect means you accept the revised Terms.
17. General
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, form the entire agreement between you and Siftlee regarding the Service. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign or transfer these Terms without our prior written consent, and we may assign these Terms in connection with a business transfer, reorganization, or similar transaction.
